UK Tax Strategy Disclosure

Specifically, with regard to the United Kingdom, the publication of this tax strategy statement is considered to satisfy the statutory obligations under paragraph 19(2), Schedule 19 of the UK Finance Act 2016, for the Live Nation Limited and Ticketmaster Europe Holdco Limited group in the UK, and under paragraph 22(2), Schedule 19 of the same Act for HNOE Limited, Showsec International Limited, Roc Nation UK Limited, Roc Nation Sports Limited, The Football Agencies Limited, Ticket Shop (N.I.) Limited, Live Nation Merchandise Limited, and Merch Traffic Limited for the financial year ending 31 December 2024.

Our Approach to Risk Management and Governance

Risk identification, mitigation, and management are central to our strategy.

We have internal controls in place to mitigate financial and operational risks within the organization, including controls related to identifying, assessing, and managing tax risk.

We also maintain disclosure controls and other procedures to ensure that relevant information regarding our group is made available to those certifying our financial statements, other senior executives, and our Board of Directors.

Our Approach to Tax Planning

Tax planning is considered necessary to mitigate tax risk and to ensure that we meet our obligations to pay the correct amount of tax at the appropriate time. As such, tax considerations are factored into business decisions alongside other relevant information.

We conduct intercompany transactions within the Live Nation group on an arm’s length basis and in accordance with current OECD guidelines.

Our goal is to ensure compliance with all tax reporting and payment obligations. We proactively manage tax risks to avoid any unexpected impact on post-tax shareholder value.

Where there is uncertainty, we seek appropriate external advice or engage directly with HMRC.

We aim to maintain a professional, open, and honest relationship with HMRC, based on cooperation. In cases of disagreement, we seek to resolve issues in a timely manner by providing full and accurate responses to inquiries, maintaining open dialogue, and working toward a resolution without litigation wherever possible.
